Jared Kopel has worked in Silicon Valley since 1986, including 21 years as a partner at Wilson Sonsini Goodrich & Rosati, P.C. He has represented numerous clients in shareholder class action and derivative lawsuits; litigated significant corporate transactions; conducted internal investigations; and counseled companies on securities matters. Jared also has represented clients in more than 150 investigations by the Securities and Exchange Commission and other regulatory agencies, including investigations concerning insider trading, financial statement fraud and disclosure issues. Among his notable accomplishments are a landmark decision concerning the standards for insider trading; the decision by the Ninth Circuit Court of Appeals establishing the "bespeaks caution" doctrine; a significant decision in Delaware Chancery Court on the distinction between derivative and direct shareholder lawsuits; and the successful defense of SEC investigations. Jared also has written chapters for a major securities law treatise and numerous articles for various legal publications.
Jared's practice includes representing clients in SEC testimony; preparing Wells Submissions on behalf of clients for presentation to the SEC; oral argument before trial and appellate courts; drafting briefs; taking and defending depositions and appearing at mediations. While he has established his own law practice, Jared is affiliated with Bergeson, LLP, a San Jose, California firm specializing in securities, commercial and intellectual property litigation.  See
